Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Useful Goose platform, available at app.usefulgoose.com, and the public website at usefulgoose.com (collectively, the "Service"), operated by Useful Goose ("Useful Goose," "we," "our," or "us").

Please read these Terms carefully before using the Service. By creating an account, accessing the Service, or clicking to accept these Terms, you agree to be bound by them. If you are using the Service on behalf of a business, organisation, or agency, you represent that you have authority to bind that entity, and "you" refers to that entity throughout these Terms.

If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of a business or agency, you represent that the entity is validly formed and in good standing, and that your acceptance of these Terms is authorised.

2. Accounts and Registration

2.1 Account Creation

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You may register using an email address and password, or via Google Sign-In.

2.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must not share your account with any other person or allow unauthorised access. You agree to notify us immediately at support@usefulgoose.com if you become aware of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

2.3 Workspaces and Brands

The Service is organised around workspaces and brands. You are responsible for all activity that occurs within your workspace, including activity by any team members, collaborators, or agents you grant access to.

2.4 One Account Per User

Each individual user may maintain one account. Creating multiple accounts to circumvent plan limits, trials, or suspensions is prohibited.

3. Free Trials and Subscriptions

3.1 Free Trial

We may offer a free trial period that gives you access to some or all features of the Service for a limited time. Free trial terms — including duration, feature access, and any applicable limits — will be presented to you at the time of sign-up. We reserve the right to modify or discontinue free trial offers at any time.

At the end of your free trial, continued access to paid features requires a paid subscription. If you do not subscribe, your access to paid features will be restricted.

3.2 Paid Subscriptions

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). By subscribing, you authorise us to charge your payment method on each billing cycle until you cancel.

All fees are stated in US dollars and are exclusive of any applicable taxes, which are your responsibility.

3.3 Changes to Pricing

We may change subscription pricing at any time. We will provide at least 30 days' notice of any price increase to existing subscribers, by email to the address on your account. Continued use of the Service after the notice period constitutes acceptance of the new pricing. If you do not accept a price change, you may cancel before the new pricing takes effect.

3.4 Cancellation

You may cancel your subscription at any time from Settings → Billing within the platform. Cancellation takes effect at the end of your current billing period. You retain access to the Service until that date. We do not provide prorated refunds for partial billing periods, except as required by applicable law or as stated in our refund policy.

3.5 Refunds

All fees are non-refundable except where expressly stated in a separate refund policy or required by applicable law. If you believe you have been charged in error, contact us at billing@usefulgoose.com within 30 days of the charge.

3.6 Payment Processing

Payments are processed by Stripe. By providing payment information, you also agree to Stripe's terms of service. We do not store your payment card details.

4. The Service

4.1 What We Provide

Useful Goose provides tools that allow you to import and manage customer reviews, generate AI-powered marketing content based on those reviews, and organise and export that content for use in your marketing activities.

4.2 AI-Generated Content

The Service uses third-party AI language models to generate content at your direction. You acknowledge that:

  • AI-generated content is produced algorithmically and may be inaccurate, incomplete, or unsuitable for your purposes.
  • You are solely responsible for reviewing, editing, approving, and publishing any content generated through the Service before it is used publicly.
  • We do not guarantee that AI-generated content will be accurate, original, free from errors, legally compliant for your jurisdiction or use case, or fit for any particular purpose.
  • AI outputs do not constitute legal, financial, medical, or professional advice of any kind.

4.3 Third-Party Integrations

The Service may connect to third-party platforms, including Google Business Profile. Your use of those integrations is also subject to the applicable third-party terms and policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

4.4 Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. We may perform scheduled or emergency maintenance that temporarily affects access. We will make reasonable efforts to provide advance notice of scheduled downtime.

4.5 Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes that affect core functionality. We are not liable to you or any third party for any modification, suspension, or discontinuation.

5. Your Content

5.1 Ownership

You retain all ownership rights in the content you upload, import, or create using the Service, including customer reviews, brand assets, and AI-generated outputs produced from your inputs ("Your Content").

5.2 Licence to Operate the Service

By using the Service, you grant Useful Goose a limited, non-exclusive, worldwide, royalty-free licence to access, store, process, and transmit Your Content solely to the extent necessary to provide and operate the Service, including passing content to AI model providers at your direction. This licence ends when you delete the content or close your account.

5.3 Your Responsibility for Content

You represent and warrant that:

  • You have all rights, licences, and permissions necessary to upload and use Your Content through the Service.
  • Your Content does not infringe the intellectual property, privacy, or other rights of any third party.
  • Your Content does not violate any applicable law or regulation.
  • Customer reviews you import are obtained and used in compliance with the terms of the platform they originated from (for example, Google's review policies).

You are solely responsible for the accuracy and legality of Your Content and any marketing content you publish based on Service outputs.

5.4 Content We Do Not Accept

You must not upload or use the Service to process content that:

  • Is defamatory, fraudulent, harassing, obscene, or otherwise unlawful.
  • Infringes any third-party intellectual property rights.
  • Contains personal data of individuals who have not consented to its processing for marketing purposes.
  • Violates any platform's terms of service from which the content was obtained.

5.5 No Training on Your Content

We do not use Your Content to train AI models, and under our agreements with AI providers, your content is not used to train or improve their foundation models.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation.
  • Generate, distribute, or promote content that is misleading, deceptive, or false, including fake reviews or fabricated testimonials.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Attempt to gain unauthorised access to any part of the Service, other accounts, or our infrastructure.
  • Introduce malware, viruses, or any other harmful code.
  • Scrape, crawl, or systematically extract data from the Service without our prior written consent.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service in any way that could damage, disable, overburden, or impair it.
  • Resell or sublicence access to the Service without our prior written consent.
  • Use the Service to generate spam, unsolicited marketing material, or mass communications in violation of applicable anti-spam laws.
  • Circumvent any usage limits, plan restrictions, or access controls.

We reserve the right to investigate suspected violations and to suspend or terminate accounts found to be in breach of this section.

7. Agencies and Resellers

If you use the Service on behalf of clients — for example, as a marketing agency managing multiple brands — the following additional terms apply:

  • You are responsible for ensuring that your use of the Service on behalf of clients complies with these Terms and all applicable laws.
  • You are responsible for obtaining any necessary consents from your clients for processing their review data and generating content on their behalf.
  • You may not grant your clients direct access to the platform under your account without ensuring they are bound by terms at least as protective as these Terms.
  • You remain the accountable party to us for all activity within your workspace, regardless of whether that activity is conducted on behalf of a client.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its software, design, features, branding, and documentation, is owned by Useful Goose and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of our intellectual property to you.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without compensation or attribution to you.

8.3 Generated Content Ownership

Subject to your compliance with these Terms, AI-generated outputs produced through your use of the Service are owned by you. We make no claim of ownership over content generated at your direction using your inputs.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to our data practices as described in the Privacy Policy.

10. Confidentiality

Each party may have access to information that is confidential to the other. You agree not to disclose any non-public information about the Service, including pricing, roadmap details, or technical documentation shared with you in confidence. We agree to protect Your Content as described in our Privacy Policy and these Terms.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, USEFUL GOOSE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • Any AI-generated content will be accurate, complete, original, or suitable for your intended use.
  • The Service will meet your specific requirements.
  • Any errors or defects will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, USEFUL GOOSE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS (US $100).

Some jurisdictions do not allow limitations on liability for certain types of damages, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Useful Goose and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service in violation of these Terms.
  • Your Content, including any claim that Your Content infringes a third party's rights.
  • Your violation of any applicable law or regulation.
  • Your use of AI-generated content, including any claims arising from its publication or distribution.
  • Any activity conducted through your account.

14. Suspension and Termination

14.1 By You

You may close your account at any time from Settings → Account within the platform, or by contacting us at support@usefulgoose.com. Closing your account does not entitle you to a refund of any prepaid fees.

14.2 By Us

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if your account poses a security risk, if required by law, or if we discontinue the Service.

For non-urgent suspected violations, we will generally make reasonable efforts to notify you and provide an opportunity to remedy the issue before suspension.

14.3 Effect of Termination

Upon termination, your right to access the Service ends immediately. We will retain and then delete your data in accordance with our Privacy Policy and data retention schedule. Provisions of these Terms that by their nature should survive termination will do so, including Sections 5, 8, 11, 12, 13, and 15.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute, you agree to contact us at legal@usefulgoose.com and attempt to resolve the issue informally. We will make reasonable efforts to resolve disputes within 30 days.

15.2 Governing Law

These Terms are governed by and construed in accordance with the laws of [Jurisdiction TBD], without regard to its conflict of law principles.

15.3 Jurisdiction

Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of [Jurisdiction TBD]. If you are a consumer in a jurisdiction that grants you the right to bring proceedings in your local courts, this section does not override that right.

15.4 Class Action Waiver

To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Useful Goose.

16. General

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Useful Goose with respect to the Service and supersede all prior agreements or understandings.

16.2 Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email or prominent in-app notification before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not accept the changes, you may cancel your account before they take effect.

16.3 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

16.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

16.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets.

16.6 Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure outages, or third-party service failures.
